General terms and conditions for Version2 products and services, including digital business cards and web development.

Contents
These General Terms and Conditions ("Terms") govern all purchases of products and engagement of services from Version2 j.d.o.o. za digitalni marketing ("we," "us," or "the Company"), whether made through our website at www.version2.hr, by email, or through any other channel.
By placing an order for a product or engaging our services, you ("you," "the Customer," or "the Consumer") agree to be bound by these Terms. If you do not agree, please do not place an order or engage our services.
These Terms are governed by the Croatian Consumer Protection Act (Zakon o zaštiti potrošača, NN 19/22, 59/23, 59/26), the Croatian Obligations Act (Zakon o obveznim odnosima, NN 35/05 et seq.), the Croatian E-Commerce Act (Zakon o elektroničkoj trgovini, NN 173/03 et seq.), and the EU Consumer Rights Directive (2011/83/EU).

- "Company," "we," "us": Version2 j.d.o.o. za digitalni marketing, Novigradska ulica 21, 23000 Zadar, Croatia, OIB: 91496405628.
- "Customer," "you," "Consumer": the natural or legal person purchasing products or engaging services from the Company. Where these Terms reference consumer-specific rights, "Consumer" refers to a natural person acting for purposes outside their trade, business, craft, or profession.
- "Digital business card": a custom-artwork, NFC-enabled physical card (PVC, NFC215, 85.6 × 54 mm) produced by the Company. The customer either uploads their own print-ready artwork or commissions the Company's design service to create the artwork from a brief. The card links to a separate web-based digital profile that the customer sets up themselves on the Company's profile app at app.version2.hr.
- "Uploaded artwork": any print-ready design files, logos, images, photographs, or other materials supplied by the customer for printing on the card.
- "Profile app": the Company's separate digital-profile platform at app.version2.hr, where the customer creates and manages the digital profile linked to their card via a one-time setup link emailed after purchase.
- "Services": web design, web development, search engine optimization (SEO), AI integration, and related digital services provided by the Company.
- "Project proposal": the written document describing the scope, deliverables, timeline, and price of a services engagement, agreed upon by both parties before work begins.
Digital Business Cards
We produce a single custom-artwork, NFC-enabled business card (PVC, NFC215, 85.6 × 54 mm), priced at €29.99, which we print and ship physically. Every card carries artwork unique to the customer. You may order in one of two ways:
- Upload your own artwork. You supply print-ready design files, which we print as supplied. In this MVP we do not proof, redesign, or otherwise alter uploaded artwork before printing. You are responsible for the accuracy and quality of the files you provide (see Section 9).
- We design it for you. You submit a short brief (name, title, logo, colors, links) and a Version2 designer finalizes the card artwork before print.
In both cases the order includes:
- Physical card production on premium PVC material with an embedded NFC chip
- NFC chip programming so the card opens your digital profile when tapped
- Printing of the agreed artwork on the card
The digital profile is separate. After payment, you set up and manage your own digital profile on our profile app at app.version2.hr, using a one-time setup link we email to you. We produce and ship the physical card; we do not build, design, or program your digital profile content on your behalf as part of this product.
Whether you upload artwork or commission our design service, the card is manufactured to your individual specifications. No two cards are identical.
Web Development and Digital Services
We provide custom web development and related digital services, including but not limited to:
- Custom website design and development
- Web applications and software development
- E-commerce store setup and development
- Search engine optimization (SEO)
- AI integration and implementation
Each project is individually scoped and quoted based on the customer's requirements. The specific deliverables, milestones, timeline, and price are defined in a project proposal that both parties agree to before work commences. For a full overview of our capabilities, visit our Services page.
Browsing our website, requesting a quote, or exchanging preliminary communications does not create a binding contract.
For digital business cards: A binding contract is formed when we confirm your order by sending an order confirmation to the email address you provided. We reserve the right to decline any order at our sole discretion, in which case no contract is formed and any payment already made will be refunded in full.
For services: A binding contract is formed when both parties sign the project proposal (or otherwise confirm acceptance in writing, including by email). The project proposal, together with these Terms, constitutes the entire agreement for the engagement.
Pricing
- All prices quoted by Version2 j.d.o.o. are final prices. The Company is not in the Croatian VAT system (nije u sustavu PDV-a), so no VAT is added to the amount you pay. The Company holds EU VAT identification number HR91496405628 for intra-EU transactions, which does not change the price shown to you.
- Prices are displayed and invoiced in EUR (€).
- Prices for digital business cards are valid as displayed on the website at the time of order.
- Prices for services are valid as stated in the project proposal at the time of signing.
Payment Methods
- Credit or debit card processed securely via Stripe
- Direct bank transfer to IBAN: HR7424070001100270400 (OTP banka d.d., BIC/SWIFT: OTPVHR2X)
Payment Terms
Digital business cards: Full payment is required before production begins. Production will not commence until payment has been received and confirmed.
Quotes. A quote issued through the pricing tool on our website, or sent to you by email, states a fixed price for the scope it describes. It is not an estimate. Each quote is valid for 14 days from the date of issue; after that we may reprice the same scope before accepting the order.
Web development services. Unless the project proposal states otherwise:
- Orders up to €800: the full amount is payable when you place the order.
- Orders above €800: a deposit is payable when you place the order. The deposit is 20% of the total, subject to a €200 minimum, rounded up to the nearest €10. The remaining balance is invoiced against the milestones set out in the project proposal.
The amount due at the time of ordering is always shown to you before you pay. Invoices for bank transfers are due within 8 days of issuance unless the project proposal specifies otherwise. Late payments may result in suspension of work until the outstanding balance is settled.
Care Plans (Recurring Services)
Some projects include the option of a monthly care plan covering maintenance, updates, monitoring, or support. Where you choose one:
- The monthly price is stated in your quote and at checkout before you subscribe.
- The plan is billed monthly in advance by card through Stripe and renews automatically each month until it is cancelled.
- Where a plan starts with a free period, that period and its end date are shown at checkout. Billing begins when it ends.
- You may cancel at any time. Cancellation takes effect at the end of the billing month already paid for, and the plan is not renewed. Amounts already paid for the current month are not refunded, except where mandatory consumer law provides otherwise.
- To cancel, use our online cancellation form at Cancel a contract, or write to office@version2.hr from the address the plan is registered to. We confirm every cancellation in writing.
- Cancelling a care plan does not affect ownership of work already delivered and paid for.
Digital Business Cards
- For uploaded-artwork orders, production begins after payment is received in full and we have received print-ready artwork.
- For "we design it for you" orders, production begins after payment is received in full and the customer has approved the final card artwork prepared from the brief.
- Estimated delivery time is 7 to 14 business days from the date production begins (artwork receipt or design approval, as applicable). This is an estimate, not a guarantee. We will notify you if a delay is expected.
- We ship to addresses within Croatia and internationally. Shipping costs, if applicable, are communicated before the order is confirmed.
- Risk of accidental loss or damage to the product transfers to the customer upon delivery. For shipments to consumers within the EU, risk transfers when the customer (or a third party designated by the customer) takes physical possession of the goods.
Digital Services
- Services are delivered according to the timeline defined in the project proposal.
- Delivery is digital and typically includes website files, access credentials, documentation, and any other deliverables specified in the proposal.
- A project is considered delivered when the agreed-upon deliverables have been made available to the customer as specified in the project proposal.
This section applies to Consumers as defined in Section 2. Business customers (B2B) do not have a statutory right of withdrawal.
Digital Business Cards: Exemption from Withdrawal
All Version2 digital business cards are custom-manufactured goods produced to the customer's individual specifications. Each card carries artwork unique to the customer (whether uploaded by the customer or prepared by us from their brief) and is programmed with the customer's NFC profile link. No two cards are identical.
Under Article 86, paragraph 1, point 3 of the Croatian Consumer Protection Act (implementing Article 16(c) of EU Directive 2011/83/EU), the right of withdrawal does not apply to the supply of goods that are made to the consumer's specifications or are clearly personalized.
By placing an order, the customer acknowledges and agrees that:
- The digital business card will be produced according to their individual specifications (their uploaded artwork, or artwork prepared from their brief).
- The right of withdrawal does not apply to this product.
- This exemption takes effect once production or personalization of the card has begun.
Customers are clearly informed of this exemption during the ordering process, before completing their purchase.
Digital Services: Exemption from Withdrawal
Under Article 86, paragraph 1, point 1 of the Croatian Consumer Protection Act (implementing Article 16(a) of EU Directive 2011/83/EU), the right of withdrawal does not apply to service contracts after the service has been fully performed, provided that:
- Performance began with the consumer's prior express consent, and
- The consumer acknowledged that they would lose the right of withdrawal once the contract was fully performed.
In practice:
- For projects requiring full upfront payment, the consumer provides express consent for work to begin upon payment. The right of withdrawal is lost once the service has been fully performed.
- For projects with a 50/50 payment structure, the consumer retains the right of withdrawal until they expressly consent to work commencing (for example, by approving the project kickoff or providing written confirmation to proceed). Once work begins with the consumer's express consent, the consumer acknowledges that the right of withdrawal will be lost upon full performance of the service.
In all cases, we inform the consumer of these conditions before work begins and obtain their express consent.

Digital Business Cards
- We guarantee that each digital business card is free from manufacturing defects at the time of delivery.
- If a card is defective (including a non-functional NFC chip, printing errors attributable to us, or material defects) we will replace the card at no additional charge.
- Defects must be reported to us within 30 days of delivery by emailing office@version2.hr with a description of the defect and, where possible, photographic evidence.
- Defects caused by the customer (including physical damage, water damage, excessive bending, or improper use) are not covered.
- The statutory warranty rights provided under the Croatian Obligations Act (Zakon o obveznim odnosima) and the Croatian Consumer Protection Act remain unaffected.
Digital Services
- We guarantee that all delivered work conforms to the specifications agreed upon in the project proposal.
- Bug fixes for issues directly caused by our code are provided free of charge for 30 days after final delivery of the project.
- The following are not covered under this warranty:
- Issues caused by third-party plugins, themes, or libraries not developed by us
- Issues arising from changes to the hosting environment made without our involvement
- Issues caused by modifications made by the customer or third parties after delivery
- Issues arising from the customer's failure to maintain required software, plugins, or security updates
- For defects that fall outside the 30-day warranty period, we offer support and maintenance services at our standard rates.
- Statutory warranty rights under Croatian law remain unaffected.
Customer-Supplied Artwork: Warranty and Indemnity
This subsection applies to uploaded artwork and to any logos, images, photographs, text, or other materials the customer supplies for printing on the card (including materials provided as part of a design brief).
By supplying such materials, the customer represents and warrants that:
- They own the materials or hold all rights, licenses, and permissions necessary to have them printed and used as described in these Terms.
- The materials do not infringe any third party's intellectual property, trademark, privacy, publicity, or other rights.
- The materials are lawful and do not contain content that is illegal, defamatory, hateful, obscene, or otherwise prohibited under applicable law.
We print uploaded artwork as supplied and do not review it for accuracy, quality, or rights clearance. We may refuse or cancel any order, or remove any material, that we reasonably believe infringes third-party rights or is unlawful; where we do so before production, any payment already made is refunded in full.
The customer agrees to indemnify and hold harmless Version2 j.d.o.o. against any third-party claims, losses, damages, and reasonable costs (including legal fees) arising from the customer's breach of the warranties in this subsection.
General
- Customer ownership. Upon full payment of all amounts due, the custom designs, code, and content created specifically for the customer's project become the customer's property. This transfer applies to the final deliverables as defined in the project proposal.
- Portfolio rights. We retain the right to display completed projects in our portfolio, on our website, and in marketing materials. If the customer wishes to opt out of portfolio use, they must notify us in writing (email is sufficient) at any time.
- Third-party components. Pre-existing tools, open-source libraries, frameworks, fonts, stock imagery, and other third-party components used in a project remain the property of their respective owners, subject to their respective licenses.
- Company platform. The digital business card profile platform, its software, underlying code, and infrastructure remain the exclusive property of Version2 j.d.o.o. Customers receive a license to use the platform for their digital profile but do not acquire ownership of the platform itself.
- Company materials. Our brand assets, website content, proprietary tools, and methodologies remain the property of Version2 j.d.o.o. and may not be reproduced without written permission.
- Version2 j.d.o.o. is liable for damages caused by intent (namjera) or gross negligence (krajnja nepažnja) without limitation.
- Liability for slight negligence (obična nepažnja) is limited to foreseeable, typically occurring damages and capped at the total value of the relevant contract.
- We are not liable for indirect damages, consequential damages, lost profits, loss of data, or loss of business opportunities, except where mandatory law provides otherwise.
- We are not liable for service interruptions, downtime, or data loss caused by third-party service providers, including but not limited to hosting providers, payment processors, domain registrars, and NFC technology providers.
- We are not liable for damages arising from the customer's failure to maintain backups, security updates, or access credentials provided at delivery.
- These limitations do not apply where mandatory Croatian or EU law (including consumer protection law) provides for stricter liability. The statutory rights of consumers remain unaffected.
We process personal data in connection with orders and service engagements. Our data processing practices are described in full in our Privacy Policy.
We use cookies on our website as described in our Cookie Policy.
By engaging our services or placing an order, you acknowledge that we will process the personal data necessary for contract performance in accordance with Article 6(1)(b) of the General Data Protection Regulation (GDPR).
These Terms are governed by and construed in accordance with the laws of the Republic of Croatia.
Consumer disputes: For contracts with consumers, the competent court is determined in accordance with Croatian law. Under the Croatian Civil Procedure Act, consumers may bring claims before the court of their domicile in Croatia.
Business disputes: For contracts between Version2 j.d.o.o. and business customers (B2B), the competent court is Trgovački sud u Zadru (Commercial Court in Zadar, Croatia).
We reserve the right to amend these Terms at any time. Amended Terms take effect when published on this page.
The version of these Terms in effect at the time you place your order or sign a project proposal applies to that transaction. We will not retroactively apply changed Terms to existing contracts.
For material changes that affect ongoing service agreements, we will make reasonable efforts to notify affected customers by email.
If any provision of these Terms is found to be invalid, unenforceable, or in conflict with mandatory law by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent and economic purpose.
